S3 Visibility Solutions Affiliate Program Agreement
1. Overview
This agreement outlines the terms between S3 Visibility Solutions ("S3V") and the approved Affiliate Partner ("Partner").
2. Commission Terms
Partner earns a recurring 20 percent commission for each paying client referred through their unique tracking link. Commissions apply to all active subscriptions and any future upsells tied to the referred account.
Milestone Bonuses: Partners may also earn one-time bonus payouts when reaching specific active-client milestones (for example, 5, 10, 15, or 20 active referred clients). Bonuses are paid once per milestone, require accounts to be active and in good standing at the time the milestone is reached, and are issued separately from monthly commissions.
3. Fulfillment and Client Management
All services are fulfilled by S3V. S3V is responsible for sales, onboarding, fulfillment, reporting, billing, client communication, and account management. Partner has no obligation to provide support or manage the client.
4. Payment Schedule
Commissions are calculated monthly and paid on the 15th of each month, provided the client invoice has been successfully processed and the account remains in good standing.
5. Tracking and Attribution
All referrals must be tracked through the Partner’s unique referral link or approved referral method. S3V is not responsible for commissions on referrals that cannot be properly attributed.
6. Marketing and Compliance
Partner agrees not to make false, misleading, or unapproved claims about S3V services, pricing, results, or guarantees. Partner must represent the services accurately and ethically.
7. Non-Disclosure and Confidentiality (NDA)
Partner agrees to keep all non-public information confidential, including but not limited to pricing structures, internal processes, client data, marketing materials, reporting methods, dashboards, strategies, and business operations disclosed by S3V.
Partner may not share, reproduce, sell, or disclose confidential information to any third party without written consent from S3V. This confidentiality obligation survives termination of the affiliate relationship.
8. Non-Solicitation of Clients
During the term of this agreement and for a period of twelve (12) months following termination, Partner agrees not to directly or indirectly solicit, contract with, or provide competing services to any current or former S3V client that Partner became aware of through participation in the affiliate program, unless expressly authorized in writing by S3V.
This clause is intended to protect S3V client relationships and does not restrict Partner from working with clients independently acquired outside of S3V.
9. Brand Usage & Representation Guidelines
Partner may reference S3 Visibility Solutions publicly only in an accurate and professional manner. Approved usage includes:
- Identifying as an "Affiliate Partner of S3 Visibility Solutions"
- Sharing approved marketing materials, links, and messaging provided by S3V
- Linking to S3V-approved landing pages or resources
Partner may not:
- Present themselves as S3V employees, owners, or exclusive representatives
- Create custom materials that imply white-label services or ownership of S3V processes
- Make performance guarantees or unapproved claims on behalf of S3V
S3V reserves the right to request revisions or removal of any public-facing content that does not comply with brand guidelines.
10. Termination
Either party may terminate this agreement with written notice. Upon termination, commissions for active referred clients will continue to be paid only while those clients remain active and in good standing, unless termination is due to fraud, misrepresentation, or breach of this agreement.
11. White-Label Requests
This affiliate program does not include white-label fulfillment. Partners seeking white-label SEO services may request a customized solution under a separate agreement.
12. Acceptance
By joining and participating in the affiliate program, Partner acknowledges and agrees to all terms outlined in this agreement.
